These Terms of Service ("Terms") govern your use of Lumos, Inc.'s ("Lumos," "we," "us") website, products, and services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
Eligibility
To use our Services, you must:

- Have the legal capacity to enter into a binding contract
- Not be barred from using the Services under applicable law
- Provide accurate and complete registration information
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

Subscription and Billing

Payments
- Subscription fees are billed in advance on a recurring basis
- All payments are non-refundable except as required by law or as stated in our refund policy
- We may change pricing with at least 30 days' notice
- You authorize us to charge your payment method for all fees
Cancellation
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will not receive a refund for the unused portion of your subscription, except where required by law.
Free Trial
We may offer free trials for paid plans. At the end of the trial period:
- You will be automatically charged unless you cancel
- We may modify or terminate the trial offer at any time
- One free trial per customer
Termination
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:
- Your right to use the Services will immediately cease
- We may delete Your Content after a reasonable retention period
- Provisions that should survive termination will remain in effect
Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Services will be uninterrupted or error-free
- Defects will be corrected
- The Services are free of viruses or harmful components
Limitation of Liability
To the maximum extent permitted by law, Lumos shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.
Our total liability for any claim shall not exceed the amount paid by you to us in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold harmless Lumos and its affiliates from any claims, damages, losses, or expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Your Content
Intellectual Property
The Services, including all content, features, and functionality, are owned by Lumos and protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks without prior written consent.
Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Continued use after changes constitutes acceptance.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of laws principles. Any disputes shall be resolved in the courts located in San Francisco, California.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
